What is empowerment?

Empowerment has been defined by the South African government as an integrated and coherent socio-economic process that directly contributes to the economic transformation of South Africa and brings about significant increases in the number of black people that manage, own and control the country’s economy, as well as
significant decreases in income inequalities.

What is a BEE Scorecard?

An empowerment scorecard is a method to rank a business at its particular level of Broad Based BEE by scoring points from the predetermined point allocation list
associated with that level. Each industry, which has an approved BEE Charter, will determine the allocateable points in line with the scorecard percentage required by
the business to qualify them to participate as suppliers to companies and organisations requiring these.

Who is Chedza?

Chedza International Holdings (Pty) Ltd was formed in 2000 by Norman Hornby and the late Professor Mohale Mahanyele, who developed a business model for
companies by facilitating black economic empowerment through ownership and management. Chedza is a Majority Black owned company with a large female shareholding.

The Chedza Offering

Chedza recognises that each business is unique and therefore different terms are negotiated with the owners in order to achieve a mutually acceptable contract.
However, the basics of the offering (model) are as follows:

Value the Business

The company and Chedza agree on a valuation of the business, or the formula of valuation and the cost of acquisition of the proposed percentage at a predetermined date.

Shareholding Required

Chedza acquires the percentage shareholding of the company which will assist you and your customers to claim the maximum BEE points.

Buy Back Option

To protect the interests of shareholders, each shareholder will be given an option to buy back their shares within the agreed period from the effective date of the original transfer. Similarly, Chedza will have the right to pay for the shares at the pre-determined value and by so doing, become irrevocable partners within the same period.

Management Fee

During the agreed window period, the company will pay Chedza a negotiated management fee.

Director Appointed

Chedza may appoint one or more directors to the company’s board and help the company to publicise the event to its client base and other prospective clients at no cost to the company.

Payment For Shares

Once the window period has expired, Chedza will be obliged to pay for its shareholding at the agreed value. A hassle-free, transparent & affordable BEE solution...without risk.

Management Assistance

Chedza will, if necessary, assist the directors in their management of the company in order to achieve the best results from empowerment as well as to ensure competent succession at all levels.
